RLS 2025 Holding combines KessTech and Jekill & Hyde
I have received information that was specifically communicated to Harley-Davidson dealers and now clearly outlines for the first time what will happen with KessTech going forward.
The MEC GmbH, to which KessTech belonged, was in self-administered insolvency., a process that takes time clearly defined In such proceedings, the management remains in office for the time being, but must present a viable solution within the set deadline. As far as we know, this period ended, as of December 31, 2025.
To December 31, 2025 was the MEC GmbH The brand was the only thing that was taken over. KessTech, which will be available from January 1, 2026 without legal succession under the umbrella of RLS 2025 Holding B.V. was provided.
According to current information, this means that no liabilities, obligations, or warranty claims from the former MEC GmbH have been automatically transferred, as MEC GmbH was not taken over. It is important to make a clear distinction in order to avoid misunderstandings: KessTech was not taken over by Jekill & Hyde. Both KessTech and The Jekill and Hyde Company B.V. are part of the same holding structure, but remain legally independent companies.
KessTech will continue to operate as an independent brand for the time being. The first step will certainly be to take inventory to see what is in stock. Operational responsibility will be assumed by the management of The Jekill and Hyde Company B.V. as of January 1, 2026. This step is organizational within the holding company and does not constitute a classic company takeover by Jekill & Hyde itself.

Aim of the reorganization
The explicit goal of this reorganization is to ensure continuity. This includes, above all, existing know-how, technical expertise, and existing customer and dealer relationships. At the same time, the new structure is intended to create scope for jointly developing new opportunities in the future.
In the course of this transition, KessTech's operational activities have been temporarily suspended. Orders and deliveries are expected to resume shortly. No specific date has been announced yet, but further information is expected this week.
According to initial information, KessTech will not disappear from the market, but will undergo structural reorganization. For dealers and customers, this currently means above all patience. The now known holding solution indicates that the focus is deliberately on stability and continuity rather than a clean break. Most of the staff are to be retained, which can also be seen as a sign that the brand will continue to exist.
I expect an official statement from RLS 2025 Holding in the course of the week.
