MIBO GmbH itself insolvent after Kesstech takeover
Just five weeks after the takeover of the Kesstech assets, MIBO GmbH itself has slipped into insolvency. The Bamberg Local Court ordered provisional insolvency administration on February 5, 2026. A surprising development that raises questions and turns into a thriller for KessTech.
Chronology of a rapid insolvency
On January 1, 2026, MIBO GmbH took over the assets of the insolvent MEC GmbH, the parent company of Kesstech, in an asset deal. The official announcement still referred to an „exploratory phase“ and „careful examination of the possibilities of restructuring“. Just 36 days later, MIBO GmbH itself was declared provisionally insolvent.
The facts from the insolvency announcement
The Bamberg Local Court has published the following order under file number IN 28/26:
- The debtor is MIBO GmbH with its registered office in Theres (Sailershäuserstraße 1, 97531 Theres)
- Bamberg Local Court, HRB 12373
- The managing directors are Erik Charles Maria Peeters and Andreas Gerardus Quirinus Stroeken
- Attorney Matthias Reinel from Würzburg was appointed provisional insolvency administrator
Jekill & Hyde Management led MIBO GmbH
The managing directors of the insolvent MIBO GmbH, Erik Peeters and Andreas (Dries) Stroeken, are also CEO and CFO of the Dutch company The Jekill and Hyde Company B.V. This means that the connection to RLS 2025 Holding B.V. is in place. Both brands, Jekill & Hyde and Kesstech, were to be bundled under this holding umbrella. MIBO GmbH acted as the German operating unit for this structure.
The fact that high-ranking managers of the parent company have personally taken over the management of MIBO GmbH speaks against a liquidation that was planned from the outset. Insolvency as a managing director is not a career highlight and not something to be taken lightly.
What went wrong?
MEC GmbH was already insolvent. MIBO only took over assets via an asset deal, i.e. machines, trademark rights, patents and presumably inventories. In a clean asset deal, there should be no nasty surprises, as no legal succession and no liabilities were taken over.
Nevertheless, MIBO became insolvent after just 36 days. Possible explanations could be that the operational restart was more expensive than calculated, that the valuation of the acquired assets was set too high, or that the short audit phase simply showed that Kesstech was not viable without massive investment. It is possible that the rapid insolvency is an admission that the takeover would not work under the given conditions.
What happens next?
The provisional insolvency administrator Matthias Reinel will now inspect the assets of MIBO GmbH. These could be sold again via an asset deal. Theoretically, RLS 2025 Holding or an external investor could acquire the Kesstech brand once again from an insolvency estate. This development means further uncertainty for customers and dealers. Warranty claims from the MEC era have already expired, and there is no longer any continuity under the MIBO umbrella either.
Can someone buy Kesstech again from the insolvency estate?
Yes, this is possible in principle and is even a common scenario. The provisional insolvency administrator Matthias Reinel will now inspect the assets and can sell them again via an asset deal.
Possible scenarios:
- An external investor buys Kesstech - Machines, trademark rights, patents and know-how could go to a new buyer
- Jekill & Hyde takes over directly - As a sister brand under RLS 2025 Holding, this would be obvious, this time without the detour via a German GmbH
- Complete processing - If no buyer is found
What that would mean! In the event of another asset deal, no liabilities would be transferred again. The Kesstech brand could therefore theoretically be debt-free and continue to operate, or the switch could be „OFF“ forever. A sad end for the scene, as the legendary battles between customers will no longer take place and the scene will become a little quieter again.
