MIBO GmbH takes over Kesstech assets - What does this mean for customers?
On January 1, 2026, MIBO GmbH acquired the assets of the insolvent MEC GmbH, the parent company of the well-known exhaust brand Kesstech. However, the nature of the takeover has far-reaching consequences for existing customers and dealers.
Classification: MIBO GmbH as part of RLS 2025 Holding
As previously reported, the Kesstech brand has been placed under the umbrella of the Dutch RLS 2025 Holding B.V.. MIBO GmbH is most likely part of this RLS 2025 holding structure, with the Dutch RLS 2025 Holding B.V. being the holding company and MIBO GmbH being the German operating unit for Kesstech. MIBO GmbH is based in Obertheres (Sailershäuser Straße 1, 97531 Obertheres) and is therefore located at the former site of MEC GmbH/Kesstech.
Asset deal instead of company takeover
The transaction is a pure asset purchase, not a classic company acquisition. In practice, this means that MIBO acquires selected assets such as machines, patents and trademark rights, but does not become the legal successor to MEC GmbH. The legal consequence is clearly formulated. All rights, obligations and guarantees that customers and dealers have acquired vis-à-vis MEC are legally extinguished. In Harleysite's opinion, this is quite clear.

What does this mean for warranty claims?
Customers with existing warranty claims on their Kesstech products can no longer assert these against MIBO. Instead, they must register their claims with the insolvency administrator of MEC GmbH as an insolvency claim. Experience shows that only a small proportion of claims can usually be satisfied in insolvency proceedings.
MIBO is not legally obliged to accept the old warranty commitments. However, the company expressly emphasizes in its press release that it attaches great importance to existing customer and dealer relationships and intends to treat them „carefully and respectfully“.
Explorative phase determines the future
MIBO has announced an exploratory phase in which a decision will be made in the short term on the future of the company. Whether and in what form the Kesstech brand will be continued is currently unclear. It is also unclear whether there will be any goodwill arrangements for affected customers.
The company expressly acknowledges the achievements of the past: „MEC GmbH and the Kesstech brand have developed into a leading player in the market in recent years. MIBO expressly expresses its appreciation for the craftsmanship, the passion and the people who have contributed to this.“

Dear Partner,
MIBO GmbH has acquired the existing assets of MEC GmbH with effect from January 1, 2026. MEC is the parent company of the Kesstech brand and recently went bankrupt.
This is an asset transaction. This means that MIBO is not the legal successor of MEC GmbH. Any rights, obligations and guarantees that customers and dealers have acquired vis-à-vis MEC are thus legally extinguished.
In recent years, MEC GmbH and the Kesstech brand have developed into a leading player in the market. MIBO expressly expresses its appreciation for the craftsmanship, passion and people who have contributed to this.
MIBO attaches great importance to existing customer and dealer relationships. This will be handled carefully and respectfully in order to ensure the possible continuation of activities.
In the coming period, MIBO will enter an exploratory phase in which decisions on the future of the company will be made in the short term. As soon as there is more clarity on this, we will inform you accordingly. We ask for your understanding and patience so that we can carefully examine the options for restructuring.
